Terms of Service

The terms on which the MAKEMIND SaaS platform is provided.

1. Scope

Makemind Ecosystem, Inc ("Company", "we", "us") operates saas.makemind.app and the MAKEMIND SaaS platform — the tenant portal at portal.makemind.app together with the tenancy, settlement ledger, subscriber and identity services behind it (collectively, the "Services").

By accessing or using the Services you agree to be bound by these Terms.

2. Availability

Sign-up is not open yet: billing is still being connected. Where a section below describes billing, payout or onboarding, it describes how those work once your tenant is connected — ask us for the current status before committing to a specific capability.

3. Accounts and tenants

Access is granted per tenant. A tenant administrator is responsible for the confidentiality of their credentials, for the users they invite, and for all activity under their tenant. Tenants are isolated from one another: each holds its own users, configuration and billing records.

4. Your customers and your policy

You set the policy your SaaS runs on — plans, prices, entitlements and the rules that decide them. We run that policy and keep the ledger of what happened. The relationship with your own customers remains yours, including the obligations you owe them.

5. Payment and settlement

Card charging runs through the payment providers connected to your tenant, and the provider named on a receipt is the party that processed it. The settlement ledger records charges, refunds, fees and payouts so that both sides can reconcile them. Additional providers and seller payout are being connected; what is available to you is whatever is connected to your tenant at the time.

6. Fees

Platform fees, and the point at which they are charged, are set out in the agreement or order form for your tenant. Where no such document exists, no fee is due.

7. Your data and ours

You retain ownership of your data, your customers' records and the content you publish through the Services. You grant us a limited licence to host and process them for the purpose of running the Services. We retain all rights in the platform, its tooling and its documentation.

8. Acceptable use

You agree not to transmit malicious code, interfere with other tenants, attempt to reach data outside your own tenant, reverse-engineer proprietary components, or resell access in a way that circumvents the terms of your tenant.

9. Suspension

We may suspend a tenant where continued operation would endanger other tenants, breach the law, or leave settlement records unreconcilable. Where circumstances allow, we give notice first.

10. Warranties

The Services are provided "as is" and "as available", without warranties of any kind. We do not warrant that the Services will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages. Our total liability is limited to the fees you paid for the Services in the twelve months preceding the claim.

12. Changes

We may update these Terms. Material changes are communicated at least 30 days in advance. Continued use after they take effect constitutes acceptance.

13. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Korea.
